By entering the “Passageways: Activating the Urban Alley Through Architecture design challenge“ (the “Competition”), the entrant (“Entrant”) agrees to these Terms and Conditions set out below and agrees that all submissions shall adhere to these Terms and Conditions.


AIA TN & The River City Company (the partners) reserve the right to amend, withdraw, suspend or change Competition and the Terms and Conditions at any time and without prior notice. It is the Entrant’s responsibility to review these Terms and Conditions regularly. AIA TN & the River City Company collect Entrant’s name, employer, email, date of birth, address, and telephone numbers (“Personal Information”) only during an Entrant’s- registration and Submission for the Competition. Personal Information is used only for administration of the Competition, as set forth in these Terms and Conditions. In order to participate in the Competition, Entrants must register through the competition’s web based registration form and provide a digital submission (“Submission”) per this Competition brief (“Brief”). Branch Technology will not accept mailed entries.


Entrants may register and make a Submission either individually or as a Team. Teams have no maximum number of allowed team members (Individual Entrants and Team Entrants are referred to as “Entrant”). Entrants may not submit more than one Submission. Each Submission must be the original work of the Entrant and must not have been previously published. By uploading a Submission, Entrant represents and warrants that it is Entrant’s original work and Entrant has permission to publish the work and license such work to AIA TN & the River City Company pursuant to these Terms and Conditions. To ensure Entrant anonymity and to protect the integrity of the Competition, upon uploading you will be given instructions on how to label your submission with an identification marker. The marker will be used to administer, organize, process and evaluate each Submission to the Competition. All Submission shall be devoid of any marks, logos, symbols, or signs that may identify the Entrant or source. Any violation of these Terms and Conditions will lead to immediate disqualification. Judges on the panel (the “Jury”) will be made aware of an Entrant’s identity only after the “finalists” from part 1 of the selection process have been identified. Entrants not registered by the Registration Closing date will not receive email updates related to the competition or be able to upload Submissions.


The Entrant reserves the right to publish, reproduce and use Entrant’s Submission, subject to the licenses granted herein. By registering for the Competition, Entrant grants to AIA TN & the River City Company and the Competition sponsors an unrestricted, non-exclusive, worldwide, irrevocable and royalty-free license to use the submissions for any purpose—including, without limitation, archival, public relations, or marketing purposes. AIA TN & the River City Company and the Competition’s sponsors shall have the right to release any of the submissions to the media or otherwise publish and distribute the submissions. AIA TN & the River City Company will endeavor to identify the entrant that authored submission released to the media and will credit the authoring Entrant. Entrant hereby gives permission to and authorizes AIA TN & the River City Company and the Competition sponsors to photograph, record, distribute, broadcast, print, and publish, using any technology, Entrant’s name, image, and activities in connection with the Competition and/or construction process.


Winning Entrants may be requested by AIA TN & the River City Company to provide individual drawings and/or renderings to be used for the construction process, promotion and/or marketing materials. TERMS & CONDITIONS AIA TN & the River City Company will endeavor to contact the winning Entrants within sixty (60) days after the Competition awards announcement. If the selected winning Entrant cannot accept a prize or becomes ineligible for a prize for any reason, the prize shall be awarded to the next highest ranking Submission from the remaining Submissions that meet the award criteria established by AIA TN & the River City Company and the Judges.


By participating in this Competition, Entrant acknowledges and agrees that AIA TN & the River City Company shall have the right to use the submitted materials for construction purposes. AIA TN & the River City Company reserve all ownership rights to the final built work. All funded project finalists must be willing and able to aid in the development of their proposal providing architectural oversight and services to construct the final installation. AIA TN & the River City Company reserve the right to alter site location and parameters during the development and construction process for the purposes of cost, constructibility, complexity, schedule and/ or requirements of local jurisdiction or other codes. AIA TN & the River City Company reserve the right to eliminate any proposal that is deemed not constructible.


The decision of the Jury is final. No appeals will be entertained. Jury members will base their selection on their own expertise, the quality of the work submitted by the competitors, the information contained in the competition document, and supporting text. The Competition Advisor will manage the Jury voting process to ensure impartial enforcement of the rules and terms of the Brief, and if necessary, advise the sponsors of any concerns. The Jury, by a majority vote, has the sole authority and responsibility to recommend winners at the end of the Competition. The Competition Advisor, in consultation with the sponsors, will resolve any disputes that may arise. In the unlikely event that the Jury is unable to reach a consensus, the Competition Advisor will facilitate the final selection. AIA TN & the River City Company reserve the right to evaluate Submissions during any part of the evaluation process per the Brief. AIA TN & the River City Company also reserve the right to provide guidance to the jury during Part 2 as required for the purpose of technical and constructibility issues. AIA TN & the River City Company reserve the right to reassign, eliminate or change judges, agents, or other authorized administrators to administer the Competition.


By entering the Competition, Entrant agrees to indemnify and hold harmless AIA TN & the River City Company, its officers, directors, shareholders, employees, agents, contractors, and, representatives, Competition sponsors, and judges from any claims of any third party and any losses, damages, expenses and liabilities (including without limitation attorneys’ fees) due to or arising out of the Entrant’s Submission, AIA TN & the River City Company’s conduct of the Competition; use of Entrant’s Submission; or Entrant’s participation in the Competition, including, without limitation, claims for copyright and trademark infringement. By entering the Competition, all Entrants agree that any disputes, claims and causes of action between Entrant and AIA TN & the River City Company arising out of or connected with the Competition or any prize awarded shall be resolved individually, without resort to any form of legal action or class action. In case of a legal action or claim, brought by the Entrant against AIA TN & the River City Company the Entrant shall pay AIA TN & the River City Company’s attorneys’ fees and legal costs arising from the claim should it fail.
